These Terms of Service (the "Terms") govern your use of Satora. Please read them carefully. By using Satora you agree to be bound by these Terms. If you do not agree, do not use Satora.
1. Introduction
(a) Satora is operated by Lendasat Inc., a Delaware C Corporation ("Satora", "we", "us" or "our"). Satora was previously offered under the Lendasat brand.
(b) The services provided by Satora include the website at satora.io and its subdomains (the "Site"), the web application accessible through the Site (the "App"), the Satora Application Programming Interface (the "API"), the Satora software development kits and libraries (the "SDK"), the smart contracts and swap coordination infrastructure we operate, and any related software, documentation and products (collectively, the "Service" or "Services").
(c) "You" means the person using the Service. If you use the Service on behalf of a company or other legal entity, "you" also means that entity, and you represent that you are authorized to bind it to these Terms.
(d) By accessing the Service, for example by opening the App, sending funds to a swap address, or using any software that interacts with the API, you agree to these Terms. If you do not agree with these Terms or any part of them, you must immediately stop using the Service.
2. Changes to these Terms
(a) We may amend these Terms at any time in our sole discretion. The current version is always published on the Site, and the date at the top of this page tells you when it was last changed.
(b) Changes take effect when they are published. Your continued use of the Service after a change constitutes acceptance of the amended Terms. Where applicable law requires us to obtain your consent to a change, we will do so.
3. Service description
(a) The Service lets you swap Bitcoin between different Bitcoin layers and Bitcoin-denominated assets. This includes on-chain Bitcoin, the Lightning Network, Arkade, and wrapped or tokenized Bitcoin on supported EVM-compatible networks, such as WBTC and tBTC. The assets, networks and swap directions available at any time are shown in the App and the API.
(b) Satora swaps are atomic and non-custodial. Each swap is executed through Hash Time-Locked Contracts (HTLCs) on the networks involved. Either both sides of a swap complete, or neither does. Satora never holds your funds without a cryptographic guarantee that you can reclaim them after the applicable timelock expires. You retain control of your assets throughout the entire flow of a swap.
(c) Satora only swaps Bitcoin for Bitcoin. Satora does not operate swap infrastructure for assets that are not denominated in Bitcoin, such as stablecoins. Where the App or the SDK lets you start from or end with such an asset, the conversion between the Bitcoin-denominated asset and that asset is a separate transaction executed entirely on the client side, in your wallet, through third-party decentralized exchanges and liquidity protocols such as Uniswap. Satora is not a party to that transaction, does not route or settle it, and does not take custody of either asset. The Satora swap itself always begins or ends with a Bitcoin-denominated asset.
(d) The Service does not require an account. Cryptographic keys used to fund, claim and refund swaps are generated and stored on your device, or in the software of the integrator whose product you are using. We do not have access to these keys and cannot recover them for you.
(e) To use the Service you provide the information needed to execute a swap, in particular:
- the asset and network you want to swap from, and the asset and network you want to swap to;
- the amount to be swapped; and
- the destination address, invoice or wallet where the swapped amount will be delivered.
(f) Swaps are executed automatically by software once they have been created. Once you have funded a swap, it cannot be changed. If you contact support asking to cancel or modify a swap, we may refuse that request without giving reasons.
(g) The Service may be integrated into third-party wallets, applications and websites through the SDK or the API. Where you use Satora through a third party's product, that third party is responsible for its product, and these Terms continue to apply to your use of the Service.
4. Eligibility and restricted jurisdictions
(a) You may only use the Service if you are at least 18 years old, or the minimum legal age in your jurisdiction if that is higher, and have the legal capacity to enter into a binding agreement.
(b) You represent that neither you nor any entity you act for is the target of sanctions administered by the United States, the European Union, the United Kingdom or the United Nations, and that you are not located in, organized in or a resident of a country or territory that is the target of such sanctions.
(c) You are responsible for ensuring that your use of the Service is legal in your jurisdiction. You may not use the Service if doing so is prohibited by the laws that apply to you.
(d) We may restrict or block access to the Service from certain jurisdictions, networks or addresses at any time and without notice, including through automated screening. We are not required to explain such restrictions.
5. Your responsibilities when swapping
You use the Service at your sole option, discretion and risk. When you create and fund a swap, you must follow the rules below. Breaking them is a violation of these Terms and, because swaps are executed automatically on public blockchains, may result in a permanent loss of funds that neither Satora nor anyone else can reverse.
(a) Send exactly what the swap expects. Fund a swap only with the asset, on the network, and in the amount shown for that swap. Sending a different asset, using a different network, or sending an amount outside the displayed minimum and maximum may result in loss of funds.
(b) Send one transaction per swap. On UTXO-based layers such as on-chain Bitcoin and Arkade, sending more than one transaction to a swap address is not supported and may result in loss of funds.
(c) Fund within the swap window. Each swap has a limited validity period and a timelock. Sending funds after a swap has expired, or after the timelock has passed, may result in loss of funds.
(d) Check your destination. You are solely responsible for providing a correct destination address, invoice or wallet on the correct network. Assets delivered to a destination you provided cannot be recovered by Satora, even if you entered it incorrectly.
(e) Back up your keys. Refunds and swap recovery depend on the keys generated on your device. If you use the App, you must securely back up the recovery phrase shown to you. If you lose your keys or recovery phrase, funds locked in a swap may be unrecoverable. Satora cannot restore keys for you.
(f) Complete your side of the swap. Some swaps require you, or the software acting for you, to claim the swapped asset or to refund an expired swap. Keep the App or integrating software running until the swap shows as complete, and return to it if a swap is interrupted.
(g) Confirmations. The number of network confirmations required before funds are accepted for a swap differs per network and may change at our discretion without notice.
(h) Taxes. You are solely responsible for determining and paying any taxes that apply to your use of the Service.
6. Fees
(a) You agree to pay the fees for swaps completed through the Service. Satora's service fee is dynamic and may vary with market conditions, route, amount and demand. Network fees, such as Bitcoin mining fees, Lightning routing fees, Arkade fees and EVM gas, are charged in addition and depend on the networks involved.
(b) All applicable fees, and the amount you will receive, are shown in the quote before you fund a swap. By funding a swap you agree to the fees included in that quote.
(c) Where the Service submits an EVM transaction on your behalf so that you do not need to hold gas tokens ("gasless" claims), the gas cost is deducted from the amount you receive as shown in the quote. You may instead claim manually with your own wallet and pay gas yourself.
(d) Client-side conversions between Bitcoin-denominated assets and other assets (Section 3(c)) incur the fees, spreads and gas of the third-party decentralized exchange or liquidity protocol used. Those amounts are set by the third party, not by Satora, and are separate from Satora's service fee.
(e) Fees are not refundable except where required by law. We may change our fees at any time. Changes apply to swaps created after the change.
7. Rates, quotes and slippage
(a) Bitcoin-to-Bitcoin swaps are quoted on the basis of Satora's fees and the network fees involved. Where a quote includes a client-side conversion to or from an asset not denominated in Bitcoin (Section 3(c)), the rate for that conversion is sourced from the third-party decentralized exchanges and liquidity protocols available at the time. Rates fluctuate. A quote is an estimate at the time it is shown and is not a guarantee.
(b) If you convert to or from an asset not denominated in Bitcoin, you acknowledge and accept exchange rate risk and slippage on that conversion. The rate may move between the time you view a quote and the time the conversion executes in your wallet. Satora does not control, and is not responsible for, the price, slippage, execution or failure of that conversion. If the rate moves beyond the tolerance built into a swap, the swap may fail and the funds you locked will become refundable after the timelock as described in Section 8.
(c) Satora does not guarantee any exchange rate, any minimum amount received, or the availability of any route.
8. Failed swaps, refunds and recovery
(a) If a swap does not complete, for example because the other side was not settled in time, a rate moved beyond tolerance, or the Service was unavailable, the funds you locked are protected by the HTLC timelock. Once the timelock has expired you can refund them to an address you control.
(b) For on-chain Bitcoin, Arkade and EVM swaps, a refund is a transaction that you, or the software acting for you, must actively create and broadcast. Refunds are only possible after the timelock has expired. The App and SDK provide tools for this, and you can recover pending swaps using your recovery phrase.
(c) Refund transactions incur network fees, which are deducted from the refunded amount.
(d) Refunds are paid in the asset you locked, not the asset you started with. If you converted a stablecoin or another asset not denominated in Bitcoin into WBTC or tBTC on the client side before funding a swap (Section 3(c)), and that swap fails, the refund is paid in WBTC or tBTC respectively. A refund to the original asset is not possible. Converting back is a separate client-side transaction at the rate and fees applicable at that time, and you bear the resulting exchange rate risk.
(e) Cross-chain refunds are paid on Arbitrum. Where a swap is funded from an EVM network other than Arbitrum, such as Ink or Optimism, and routed through a bridge, a failed swap can only be refunded on Arbitrum. The refund is not returned to the network you funded from. You must be able to receive and use the refunded asset on Arbitrum, and moving it elsewhere is your responsibility and at your cost.
(f) Satora is not responsible for delays or failures in completing a swap caused by network congestion, insufficient liquidity, third-party infrastructure, your software or connectivity, or your failure to follow Section 5.
9. API and SDK
(a) We make the API and the SDK available so that developers can integrate the Service into their own products. The SDK is the supported integration path. The API may change without notice.
(b) No authentication is required to use the Service. An optional API key can be used for attribution and to apply a fee markup you set. You are responsible for keeping any API key confidential and for all swaps created with it.
(c) If you integrate the Service into a product used by others, you are solely responsible for that product and for your users, including how you manage keys, disclose fees and risks, and comply with the laws that apply to you. If your product holds keys or manages swaps on behalf of your users, those users are trusting you, not Satora, with custody.
(d) Because the API is open and the SDK is open source, we cannot distinguish swaps created with our official software from swaps created with modified or third-party software. We only provide support for official Satora software used in accordance with these Terms.
(e) Software provided under an open-source license is governed by that license. Nothing in these Terms limits the rights granted by such a license.
10. Third-party services and assets
(a) The Service depends on and interacts with networks, protocols, software and services that we do not operate, including the Bitcoin, Lightning, Arkade and EVM networks, decentralized exchanges and liquidity protocols, bridge and cross-chain messaging protocols, token issuers, wallets, node operators and block explorers.
(b) Wrapped or tokenized Bitcoin such as WBTC and tBTC, and assets such as stablecoins, are issued and controlled by third parties. Satora does not issue these assets and makes no representation regarding their value, backing, redeemability, peg or continued operation.
(c) Conversions between Bitcoin-denominated assets and other assets are executed on the client side through third-party decentralized exchanges and liquidity protocols such as Uniswap (Section 3(c)). Satora does not operate these protocols, is not a party to those transactions, and does not guarantee their price, liquidity, execution or security.
(d) Some routes deliver assets to additional networks through third-party bridges. Satora disclaims all responsibility for the actions, failures, delays, fees or losses caused by token issuers, bridge operators, decentralized exchanges, liquidity protocols, wallets or any other third party.
11. Prohibited use and compliance
(a) You may not use the Service, or any address or funds in connection with it, for money laundering, terrorist financing, sanctions evasion, fraud, scams, ransomware, theft or any other illegal purpose, or with funds derived from such activity.
(b) You may not attack, overload, reverse engineer for malicious purposes, or interfere with the Service or its infrastructure, or attempt to bypass any restriction, limit or screening we apply.
(c) We may use automated risk screening on transactions and addresses. We reserve the right to refuse to process, or to decline to settle, swaps we believe are connected with illegal activity or that violate these Terms. Because the Service is non-custodial, funds you have already locked remain refundable to you after the timelock in accordance with the HTLC rules, unless we are required by law to act otherwise.
(d) We retain swap and transaction data to the extent needed to operate the Service and to comply with our legal obligations. We may share such data with authorities where required by law. See our Privacy Policy for details.
12. Risks
You acknowledge and accept that using the Service involves risks, including:
- Technology risk. Failures of hardware, software, and Internet connections; bugs or vulnerabilities in the App, the SDK, our smart contracts, or the wallets and software you use.
- Network and protocol risk. Malfunctions, attacks, forks, congestion, reorganizations, or unexpected behavior of the Bitcoin, Lightning, Arkade or EVM networks, including gas price spikes and bridge or cross-chain messaging failures.
- Market risk. Digital asset prices and exchange rates are volatile and may move against you during a swap.
- Liquidity risk. Routes may be unavailable or limited, swaps may fail for lack of liquidity, and client-side conversions through decentralized exchanges may execute at a worse price than quoted or fail entirely.
- Key management risk. Loss of your keys or recovery phrase, or compromise of your device, can result in permanent loss of funds.
- Third-party risk. Issuers, bridges, liquidity protocols and other third parties may fail, change their terms or cease to operate.
- Regulatory risk. Laws applying to digital assets may change and may affect the availability of the Service.
Satora is not a bank, exchange, broker, custodian, payment institution or financial adviser. Nothing provided through the Service is investment, legal, tax or financial advice.
13. Disclaimer of warranties
(a) THE SERVICE, INCLUDING THE SITE, THE APP, THE API, THE SDK AND OUR SMART CONTRACTS, IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
(b) We do not warrant that the Service will be available, uninterrupted, timely, secure or error-free, that any swap will complete, or that any rate, amount or route will be available.
14. Limitation of liability and indemnification
(a) SATORA DOES NOT PROVIDE CUSTODIAL SERVICES. WE NEVER CONTROL YOUR FUNDS, NOT EVEN FOR A SHORT TRANSIENT PERIOD. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LENDASAT INC. AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, PARTNERS, LICENSORS AND SUPPLIERS (THE "SATORA PARTIES") WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR YOUR INABILITY TO USE IT, UNLESS THE RELEVANT SATORA PARTY ACTED WITH GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
(b) UNDER NO CIRCUMSTANCES WILL THE SATORA PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR DIGITAL ASSETS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(c) Without limiting the foregoing, the Satora Parties are not liable for losses resulting from your own error or failure to follow these Terms, including sending funds to a wrong address, asset, network or amount; loss of keys or recovery phrases; failure to claim or refund a swap; scams, fraud or deceptive practices by third parties; client-side conversions executed through third-party decentralized exchanges; or the acts or failures of any third-party network, protocol, issuer, bridge, wallet or service.
(d) Where applicable law does not allow the exclusions or limitations above, the liability of the Satora Parties is limited to the greatest extent permitted by that law. Nothing in these Terms excludes liability for fraud or for damage caused intentionally.
(e) You agree to indemnify and hold harmless the Satora Parties from any claim, loss, liability, damage or expense, including reasonable legal fees, arising out of or connected with your use of the Service, your violation of these Terms, your violation of any law or the rights of a third party, or any product you build on the API or SDK.
(f) This Section survives termination of these Terms.
15. Intellectual property
(a) Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to access and use the Service. Except for software provided under an open-source license, all rights in the Service, including the Site, the App, the design, trademarks, content and code, remain with Lendasat Inc. or its licensors.
(b) You may not use the Satora or Lendasat names, logos or branding without our prior written permission, except as needed to accurately describe an integration built with the SDK or the API.
16. Suspension and termination
(a) We may suspend, restrict or terminate your access to the Service at any time, with or without cause and without notice, including where we believe you have violated these Terms, where we are required to by law, or where we cease to operate the Service.
(b) Suspension or termination of access does not affect your ability to refund funds locked in an HTLC after the timelock has expired, which is enforced by the underlying networks rather than by us.
(c) You may stop using the Service at any time. Your sole remedy for any dissatisfaction with the Service or these Terms is to stop using the Service.
17. Governing law and jurisdiction
(a) These Terms, and any dispute or claim arising out of or in connection with them or the Service, are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
(b) Any dispute arising out of or in connection with these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of the State of Delaware, United States. We may also bring proceedings in the courts of your domicile.
(c) Mandatory consumer protection rules of the country in which you reside may give you additional rights or limit the effect of this Section. In that case, this Section applies to the fullest extent permitted by those rules.
(d) This Section survives termination of these Terms.
18. General
(a) Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and us regarding the Service and replace all prior agreements.
(b) Severability. If any part of these Terms is held invalid or unenforceable, the remaining parts remain in full force and the invalid part will be applied to the greatest extent possible.
(c) No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
(d) Assignment. You may not assign or transfer these Terms or any rights under them without our written consent. We may assign these Terms without your consent, unless prohibited by law.
(e) Events outside our control. We are not liable for any failure or delay in performing the Service caused by events beyond our reasonable control, including failures of third-party services, networks or blockchains, strikes, war, terrorism, natural disasters, epidemics, or failures of telecommunications or power.
(f) Independent parties. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship between you and us.
(g) No third-party beneficiaries. Except for the Satora Parties as set out in Section 14, these Terms do not confer any rights on third parties.
(h) Headings. Headings are for convenience only and do not affect interpretation.
